TERMS & CONDITIONS
Terms and Conditions for the Provision of Goods and Services (the “Terms”)
These Terms, together with the Order, shall form a legally binding agreement between the Customer and Quickfit Car Chargers (an “Agreement”).
1 Definitions
The following defined terms shall apply to the Terms, Quote
| Definition | Meaning |
| APP | means the software application associated with the Charger. |
| Applicable Legislation | includes but is not limited to Data Protection Act 2018 and the United Kingdom General Data Protection Regulation (UK-GDPR). |
| Cancellation Fee | means any fee in respect of cancelling an Installation, where such fee is detailed within the Order. |
| Certification | Means either NICEIC or NAPIT certification as applicable. |
| Charger or “EV Charger” | means the Electrical Vehicle Charging Unit selected by the Customer and detailed within the Order. |
| Customer | means the individuals identified within the Order. |
| Deposit | Means the % of the Installation Fee as detailed within the Order. |
| Location | means the Customer premises where the Charger is to be Installed. |
| Installation | means the installation of the Charger at the Location by Quickfit Car Chargers LTD in accordance with the provisions of clause 5 (Installation). |
| Installation Fee | Means the total fee in relation to supply of Charger and Installation. |
| OEM | means the original equipment manufacturer. |
| Order | means a Quote that has been accepted by the Customer, either electronically or signing hardcopy. |
| Quote | means the quotation provided by Quickfit Car Chargers to the Customer including the detail within clause 2 (Quote and Order). |
| Quickfit Car Chargers | Quickfit Car Chargers LTD. Are registered in England & Wales with company number 16892654. Our trading address is Unit 5 Newhall Works, Newhall Road, Sheffield, S9 2QL. |
| Supplementary Terms | means any addition or amendment to an Order. |
| Survey | means a survey of the property by Quickfit Car Chargers to identify where the Charger should be positioned, including the: electrical cabling requirements.Preference on Wi-FiWi-Fi signal requirement for hardwareAdditional groundworks |
| Working Day | means Monday to Friday, excluding UK bank holidays. |
2 Quote and Order
2.1 Quickfit Car Chargers shall provide a Quote to the Customer which shall be valid for a period of 30 days and shall detail:
- Model and specification of Charger;
- Price for Charger & Installation;
- Price for Groundworks (where required).
2.2 If the Quote is agreed by the Customer, it may be accepted electronically (via email or portal) or by signing a copy of the Quote, an accepted Quote shall be deemed an Order.
2.3 Following acceptance of the Quote, Quickfit Car Chargers shall issue an invoice in accordance with the Order and agree the Installation date with the Customer.
3 Cancellation
3.1 The Customer may cancel the Order within 14 days of Order acceptance, provided that Installation has not been completed.
3.2 In the event that the Customer purports to cancel the Order after the 14-day period detailed within clause 3.1 above, then Quickfit Car Chargers may levy the Cancellation Charge, if one is specified within the Order.
4 Charging
4.1 Quickfit Car Chargers shall issue an Invoice for the Deposit on acceptance of the Quote, which shall be payable the following Working Day.
4.2 The remainder of the Installation Fee shall be invoiced on completion of Commissioning and shall be payable the following Working Day.
5 Installation
5.1 Quickfit Car Chargers shall use reasonable endeavours to achieve the Installation Date, and time shall not be of the essence.
5.2 The Installation Date will be agreed following the payment of the Deposit and documented via e-mail.
5.3 Installations process:
5.3.1 The fitting of the Charge Point shall be on a brick or plaster wall (or other suitable permanent structure) as identified within the Survey.
5.3.2 Routing of the cable through 1 x drilled hole in a wall up to 500mm thick (where required). Up to 30 metres of cable, run and clipped to the wall between the main electrical supply (also known as fuse board) and the EV charger, up to a height of up to 1.8m.
5.3.3 The installation of a circuit breaker in the consumer unit.
5.3.4 Demonstration of the Charge point functions and App to the customer (“Commissioning”).
5.3.5 The supply of all necessary electrical testing and Certification following payment in full of the Installation Fee.
5.4 Non-Standard Installations
5.4.1 If in the event that the installation is non-standard and additional works are required which Quickfit Car Chargers agree to be outside the scope of a Standard Installation.
5.4.2 Quickfit Car Chargers will provide a description of the additional work with a quotation which is in line with our standard pricing list. If you agree to proceed with the proposed/revised installation plan, the additional work performed will be invoiced to you by Quickfit Car Chargers.
6 Customer Obligations
6.1 The Customer is responsible for obtaining all necessary consents, including consents for any necessary alterations to buildings and any consents required for the Installation at the Location.
6.2 The Customer will allow Quickfit Car Chargers access to the Location as may be reasonably necessary for the performance by Quickfit Car Chargers of its obligations under the Agreement.
6.3 Notwithstanding the provisions of clause 8 (Limitation of Liability), if the Customer delays or fails to perform its obligations under this 6 (Customer Obligations), then at Quickfit Car Chargers option, Quickfit Car Chargers may:
a) change the Installation Date; or
b) cancel the relevant Order(s) and
invoice the Customer for any reasonable Charges incurred for any work that is performed by Quickfit Car Chargers on behalf of the Customer and that is directly attributable to the Customer’s failure to perform.
7 Risk and Title
7.1 Risk in the Charger shall pass on delivery by Quickfit Car Chargers to the Customer.
7.2 Title shall pass to the Customer on payment in full for all amounts detailed within the Order or any Supplementary Terms to the Order. In the event that all amounts are not paid by the dates due in accordance with the provisions of the Order, then Customer shall allow Quickfit Car Chargers right of access to remove any items that have not been paid for in full.
8 Limitation of Liability
8.1 Quickfit Car Chargers aggregate liability will be limited to the value of monies paid in respect of services provided pursuant to an applicable Order.
8.2 No Party will, in an action based on breach of contract, be liable to the other for loss of profit, business, contract, corruption or loss of data; or indirect, consequential, anticipated savings or indirect or special damages; arising from a breach of the Agreement (even if advised of the possibility of such losses arising).
8.3 The exclusions and limitations of liability set out in the Agreement will not apply so as to restrict either Party’s liability for death or personal injury resulting from that Party’s negligence; or for fraud; or in respect of the payment of any amounts that are due and payable in accordance with the terms of the Agreement; or for any other liability which cannot be excluded or restricted by law.
8.4 All warranties and conditions whether express or implied by statute, common law or otherwise in relation to the provision of the Product are hereby excluded to the fullest extent permitted by law.
8.5 The provisions of this clause 8 (Limitation of Liability) will survive expiry or termination (as appropriate) of the Agreement.
9 Warranty
9.1 Quickfit Car Chargers warrants that they shall undertake the Installation in accordance with good industry practice.
9.2 Quickfit Car Chargers will pass the benefit of any OEM Warranty for the benefit of the Customer, and the Customer will be responsible for complying with any obligations contained within such warranty.
9.3 Except as provided for in clause 9.1 all warranties and conditions whether express or implied by statute, common law or otherwise in relation to the provision of the Charger and Installation are hereby excluded to the fullest extent permitted by law.
10 Data Protection and GDPR
10.1 The Quickfit Car Chargers Privacy Policy is contained on our website.
10.2 Defined terms in this clause 10 (Data Protection and GDPR) are contained within the Applicable Legislation.
10.3 In undertaking activities as a Controller, Quickfit Car Chargers may collect, Process, use or share Personal Data with Quickfit Car Chargers Affiliates and sub-Processors, within or outside the country of origin in order to manage Orders from receipt of request to implementation of an Order and follow up. Subject always to compliance with the Applicable Legislation and associated data security requirements and policies specifically but not limited to Article 40 (Codes of Conduct) of UK GDPR.
10.4 In undertaking the required activities, Quickfit Car Chargers may obtain your home or business address, E-mail address, telephone number(s). We will use this information in order to fulfil the activities under the Order. We will only store this data for as long as is reasonably required to fulfil our obligations under the Order.
10.5 Where Quickfit Car Chargers are acting as a Processor, Quickfit Car Chargers will:
- only act on the written instructions of the Controller;
- ensure that people Processing the data are subject to a duty of confidence;
- take appropriate measures to ensure the security of Processing;
- assist the Controller in providing subject access and allowing Data Subjects to exercise their rights under the GDPR;
- assist the Controller in meeting its GDPR obligations in relation to the security of processing, the notification of Personal Data breaches and data protection impact assessments;
- delete or return all Personal Data to theController as requested at the end of the contract; and
- submit to audits and inspections and provide the Controller with whatever reasonable information required ensure that we are both meeting their Article 28 obligations and tell the Controller immediately if it is asked to do something infringing UK-GDPR.
10.6 Nothing within the Contract shall be deemed to relieve Quickfit Car Chargers acting as the Processor of our own responsibilities and liabilities under the Applicable Legislation.
10.7 In accepting a Quote the Customer agrees that Quickfit Car Chargers may use the Customer details in order to provide the services, including directly contacting the Customer by phone or email.
11 Force Majeure
11.1 With the exception of the Customers duty to pay the Charges a party is excused from performance and is not liable for any failure due to a cause beyond its reasonable control, including, but not limited to: any accident, fire, or explosion, (other than in each case, one caused by a breach of contract by or assistance of that party (or its sub-contractor)), storm, flood, earthquake, subsidence, epidemic or other natural physical disaster or acts of God, inclement or severe weather; industrial disputes, or any shortage of or difficulty in obtaining labour, fuel, raw materials or components failure or shortage of power supplies, lightning or fire.
11.2 In the event non-performance continues for a period of 3 months either party may terminate the affected Order provided any payments due under the terms of this Contract have been made.
